Terms of Service

These terms of service ("Terms") govern the relationship between you ("Client", "you") and North Point Digital ("we", "us", "our") when you engage us to provide digital services. By engaging our services, you agree to these Terms.

Services

We provide web design and development, brand identity, AI asset creation, content creation, and related digital services as described in our proposals and agreements. The specific scope, deliverables, and timeline for your project will be outlined in a written proposal or statement of work provided before any work begins.

Quotes and proposals

All quotes are valid for 30 days from the date of issue unless otherwise stated. A quote becomes a binding agreement once accepted in writing (including email) and any required deposit has been paid. We reserve the right to adjust pricing if the scope of work changes significantly from the original brief.

Payment

  • A 50% deposit is required before work begins unless otherwise agreed.
  • The remaining balance is due on completion and delivery of the project, or as outlined in the proposal.
  • For larger projects, payments may be structured in milestones as agreed in the proposal.
  • Invoices are payable within 14 days of issue via bank transfer or other agreed method.
  • Late payments may incur interest at a rate of 2% per month on the outstanding balance.

All prices are quoted in Australian dollars (AUD) and are exclusive of GST unless stated otherwise.

Client responsibilities

To keep your project on track, you agree to:

  • Provide content, assets, access credentials, and feedback in a timely manner.
  • Review and approve deliverables within the timeframe agreed in the proposal.
  • Ensure that any materials you provide (text, images, logos) do not infringe the intellectual property rights of any third party.

Delays caused by late provision of materials or feedback may extend project timelines and could result in additional costs if significant rework is required.

Revisions and changes

Each proposal includes a set number of revision rounds as specified in the scope. Additional revisions or changes to the agreed scope may be quoted separately and will require your approval before work proceeds.

Intellectual property

  • Your content: You retain ownership of all content, images, and materials you provide to us.
  • Final deliverables: Upon full payment, ownership of the final project deliverables (website code, brand assets, etc.) transfers to you.
  • Third-party assets: Some projects may include third-party fonts, stock images, or software licences. These remain subject to their respective licence terms.
  • Portfolio rights: We reserve the right to display completed work in our portfolio, case studies, and marketing materials unless you request otherwise in writing.

Hosting and third-party services

Where we recommend or set up third-party services (hosting, domain registration, analytics, email, etc.), these are subject to their own terms and pricing. We are not liable for changes to third-party pricing, outages, or policy changes beyond our control.

Warranties and disclaimers

We will perform our services with reasonable care and skill. However, we do not guarantee specific results such as search engine rankings, traffic volumes, or conversion rates, as these depend on many factors beyond our control.

To the maximum extent permitted by Australian Consumer Law, our liability for any claim arising from our services is limited to the total fees paid for the specific service giving rise to the claim.

Termination

Either party may terminate the engagement by giving 14 days written notice. In the event of termination:

  • You will be invoiced for all work completed up to the date of termination.
  • Any deposit paid is non-refundable once work has commenced, as it covers initial research, planning, and setup.
  • We will provide all completed deliverables and any work-in-progress files upon receipt of final payment.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the agreement.

Dispute resolution

If a dispute arises, both parties agree to attempt resolution through good-faith negotiation in the first instance. If the dispute cannot be resolved informally, it will be submitted to mediation in New South Wales, Australia. These Terms are governed by the laws of New South Wales, Australia.

Force majeure

Neither party will be liable for delays or failure to perform caused by circumstances beyond reasonable control, including natural disasters, pandemics, internet outages, or government actions.

Free sample offer

From time to time, we may offer complimentary sample work to prospective clients. This may include a research and proposal document or sample visual assets based on your existing branding. The following conditions apply:

  • The offer is available to genuine local businesses operating in Australia. We reserve the right to verify the legitimacy of any business requesting a free sample and to decline requests at our sole discretion.
  • Requests made for the purpose of obtaining free work with no genuine intent to explore our services may be declined.
  • The sample is provided as a demonstration of our capabilities and does not constitute a commitment to deliver a full project.
  • All intellectual property in the sample work remains with North Point Digital until a paid engagement is agreed. We may use sample work in our portfolio and marketing materials.
  • The offer is limited to one free sample per business and may be withdrawn or modified at any time without notice.

Changes to these terms

We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Continued engagement of our services after changes are posted constitutes acceptance of the updated Terms.
